These Terms of Service ("Terms") constitute a legally binding agreement between PureFlow US, Inc. ("PureFlow US," "we," "us," or "our") and you ("Customer," "you," or "your") governing your access to and use of the PureFlow US platform, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, accessing the Service, or clicking "I Agree," you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or the organization you represent, and agree to comply with these Terms and our Privacy Policy.
PureFlow US provides cloud-based data cleansing, email address verification, list hygiene, deduplication, and related data quality services accessible via a web interface and REST API. Features and capabilities are described in the documentation at pureflow-us.com and may be updated from time to time.
You must provide accurate, complete, and current account information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at security@pureflow-us.com. PureFlow US is not liable for losses resulting from unauthorized account access due to your failure to secure your credentials.
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including without limitation the CAN-SPAM Act, GDPR, CCPA, and any other applicable anti-spam or data protection laws. You agree NOT to:
Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.
Access to the Service requires a paid subscription (except for free trial credits). Fees are charged in advance on a monthly or annual basis according to your selected plan. All fees are non-refundable except as expressly provided herein or required by applicable law.
We reserve the right to change pricing upon 30 days' written notice. If you disagree with a price change, you may terminate your subscription before the new price takes effect. Continued use after the effective date constitutes acceptance of the new pricing.
Late payments may result in service suspension. Accounts overdue by more than 30 days may be terminated and subject to a collection fee.
We may offer a free trial with limited verification credits. At the end of the trial, you must select a paid plan to continue using the Service. Trial credits are non-transferable and expire upon trial end. We reserve the right to modify or discontinue free trials at any time.
The Service, including all software, algorithms, interfaces, and documentation, is the exclusive property of PureFlow US and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms. You retain ownership of all data you upload to the Service.
Your use of the Service is governed by our Privacy Policy, incorporated herein by reference. You represent and warrant that you have obtained all necessary rights, consents, and permissions to upload, process, and verify the data you submit to the Service, and that doing so does not violate any applicable law or third-party rights.
Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with these Terms, using at least the same degree of care used to protect its own confidential information, but in no event less than reasonable care.
We target 99.9% monthly uptime for paid plans. Scheduled maintenance windows (communicated at least 24 hours in advance) and force majeure events are excluded from uptime calculations. Service credits for downtime below our SLA target are available to Enterprise customers upon written request within 30 days of the incident.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUREFLOW US SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless PureFlow US and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your uploaded data.
Either party may terminate this agreement for any reason upon 30 days' written notice. We may terminate or suspend your account immediately if you breach these Terms. Upon termination, your right to use the Service ceases, and we may delete your data after a 30-day grace period. Sections 7, 11, 12, 13, and 15 survive termination.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on our website. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
